SKF Board Sets Oct 1 EGM to Approve SKF Vertevo Spin-Off Listing

Gothenburg – September 10, 2026 -- AB SKF's Board of Directors has proposed the distribution and listing of SKF Vertevo, the group's Automotive business, with a shareholder vote set for an Extraordinary General Meeting on October 1, 2026.

SKF Vertevo listing targeted for December 1, 2026 on Nasdaq Stockholm

Subject to shareholder approval at the EGM and customary regulatory clearances, shares in SKF Vertevo are expected to begin trading on Nasdaq Stockholm on December 1, 2026. The move follows the completed operational separation of the Automotive business, which has been running as a standalone unit within the SKF Group ahead of the formal split.

Gothenburg – September 10, 2026 -- AB SKF has called an Extraordinary General Meeting for 1 October 2026 to approve the distribution of all shares in SKF Vertevo AB, the entity housing SKF's Automotive business, to existing shareholders ahead of a planned Nasdaq Stockholm listing.

SKF sets a 5-to-1 share ratio for the Vertevo distribution

Under the Board's proposal, shareholders will receive one series A share in SKF Vertevo for every five series A shares held in SKF, and one series B share for every five series B shares. Fractional entitlements will be pooled, sold on Nasdaq Stockholm via Skandinaviska Enskilda Banken AB, with proceeds distributed pro rata through Euroclear, free of commissions.
