Gothenburg – September 10, 2026 -- AB SKF's Board of Directors has proposed the distribution and listing of SKF Vertevo, the group's Automotive business, with a shareholder vote set for an Extraordinary General Meeting on October 1, 2026.
SKF Vertevo listing targeted for December 1, 2026 on Nasdaq Stockholm
Subject to shareholder approval at the EGM and customary regulatory clearances, shares in SKF Vertevo are expected to begin trading on Nasdaq Stockholm on December 1, 2026. The move follows the completed operational separation of the Automotive business, which has been running as a standalone unit within the SKF Group ahead of the formal split.
Board cites divergent business models as rationale for the split
SKF and SKF Vertevo operate with different business models, end markets and value drivers, according to the company. The Board expects each entity to sharpen strategic focus and allocate capital independently once separated. "The proposed distribution and listing of SKF Vertevo marks yet another important milestone in the separation of the Automotive business," said Hans Stråberg, Chair of SKF's Board of Directors, adding that two independent, focused companies are expected to support accelerated profitable growth for customers, employees and shareholders.
New SKF Vertevo board and management team finalized
Håkan Buskhe has been elected Chair of the SKF Vertevo Board of Directors, with Therese Friberg, Hock Goh, Philip Ahlgren, Jumana Al-Sibai, Ebba Bonde, Maria Hemberg and Kerstin Enochsson named as shareholder-elected members. Friberg and Goh have simultaneously resigned from the Board of Directors of AB SKF as part of the transition.
Swedish shareholders to receive tax-deferred treatment under Lex Asea
The distribution of SKF Vertevo shares is structured to meet the requirements of Sweden's "Lex Asea" rules, meaning the transaction will not trigger immediate taxation for individuals and limited liability companies that are Swedish tax residents.
The separation process began with SKF's September 2024 announcement to split off its Automotive business, followed by the naming of Buskhe as future Chair in September 2025 and the confirmation of the SKF Vertevo brand name in February 2026.
