SKF Shareholders to Vote on SEK 11 Billion Vertevo Spin-Off Oct. 1

Gothenburg – September 10, 2026 -- AB SKF has called an Extraordinary General Meeting for 1 October 2026 to approve the distribution of all shares in SKF Vertevo AB, the entity housing SKF's Automotive business, to existing shareholders ahead of a planned Nasdaq Stockholm listing.

SKF sets a 5-to-1 share ratio for the Vertevo distribution

Under the Board's proposal, shareholders will receive one series A share in SKF Vertevo for every five series A shares held in SKF, and one series B share for every five series B shares. Fractional entitlements will be pooled, sold on Nasdaq Stockholm via Skandinaviska Enskilda Banken AB, with proceeds distributed pro rata through Euroclear, free of commissions.

Trading in Vertevo shares is expected to begin 1 December 2026

The Board proposes a record date of 27 November 2026, with the first trading day for SKF Vertevo shares on Nasdaq Stockholm set for 1 December 2026. The move follows SKF's 17 September 2024 announcement of its intention to separate the Automotive business into a standalone listed company.

The distribution carries a book value of SEK 11 billion

SKF estimates the value of the SKF Vertevo distribution at SEK 11,000,000,000, based on book value at the time of transfer. The company structured the transaction under Sweden's Lex Asea rules, which allow the share distribution to proceed without triggering immediate taxation on the dividend for Swedish-resident shareholders.

SEK 22.4 billion remains available for distribution after the April dividend

SKF's non-restricted equity stood at SEK 25,966,908,865 as of 31 December 2025. The Annual General Meeting on 21 April 2026 approved a dividend of SEK 7.75 per share, totaling SEK 3,528,970,777, reducing non-restricted equity to a distributable balance of SEK 22,437,938,088 under Chapter 17, Section 3 of the Swedish Companies Act.

Approval requires a simple majority of votes cast

The resolution on the Vertevo distribution needs support from more than 50% of votes cast at the meeting. SKF currently has 455,351,068 total shares outstanding -- 28,918,310 series A and 426,432,758 series B -- carrying 71,561,585.8 total votes, with the company holding no treasury shares.

Shareholders face a tight registration window

To participate, shareholders must be recorded in the register maintained by Euroclear Sweden AB by 23 September 2026 and submit notification or postal votes to Computershare AB by 25 September 2026. Nominee-held shares require temporary voting-right registration completed within the same deadline. The meeting will convene at the Elite Park Avenue Hotel in Gothenburg, with an information brochure on the Vertevo distribution published alongside the notice.
