Kista, Sweden – September 29, 2026 -- Sivers Semiconductors AB has called an Extraordinary General Meeting for 22 October 2026 to replace auditor Deloitte AB with Ernst & Young AB, a move tied to the company's plan for a dual listing on U.S. capital markets expected in the first half of 2027.
Nomination committee cites EU rotation rule and US listing prep for auditor switch
Deloitte has served as Sivers' auditor for ten years, the maximum term allowed under Article 17 of EU Regulation No 537/2014 for public-interest entities. The Audit Committee recommended the change, which the Nomination Committee approved unanimously, framing EY's experience with SEC reporting requirements and U.S. capital markets activity for Swedish listed companies as the deciding factor. The Nomination Committee stated the switch does not stem from any disagreement over accounting or financial reporting.
Board seeks approval for new stock option plan spanning five countries
The Board has proposed a long-term incentive program, P11, offering stock options to employees in the United States, Scotland, Sweden, India and China -- all countries where the group operates. Options will not vest before the third anniversary of grant, a structure the company says aligns with prevailing Swedish market practice and institutional investor expectations. Non-employee board members are excluded from participation.
Shareholders to vote on Series C share issuance authority
The agenda also includes a resolution authorizing the Board to issue Series C shares via directed issue and to repurchase and transfer ordinary shares to cover social security charges, mechanisms typically used to fund incentive programs like P11.
Company holds 356.7 million shares, with 12.9 million in treasury
As of 29 September 2026, Sivers Semiconductors had 356,740,332 ordinary shares outstanding, each carrying one vote. The company holds 12,872,916 of these shares in treasury, which cannot be voted at the meeting. Shareholders must be registered with Euroclear Sweden AB by 14 October 2026 and notify participation by 16 October 2026, either for in-person attendance or postal voting.
