Silvercorp Extends Proxy Deadline, Softens Board Nomination Rules

Vancouver – – September 30, 2026 -- Silvercorp Metals Inc. (TSX: SVM) (NYSE American: SVM) has extended its shareholder proxy voting deadline to September 30, 2026 at 4:00 p.m. Pacific time, after approving a further revision to a special resolution governing amendments to the Company's corporate Articles ahead of its annual general and special meeting scheduled for October 2, 2026.

Company narrows information it can demand from director nominees

Silvercorp has amended Article 16, which governs how shareholders nominate individuals for election to the Board. Having initially proposed limiting the information required to assess a nominee's independence, the Company has now gone further, removing its ability to request any nominee information beyond items specifically enumerated in Article 16, paragraph 4. A redline of the proposed changes was filed on SEDAR+ on September 29, 2026 under "Other Securityholder Documents."

Article overhaul tied to potential Hong Kong Stock Exchange listing

The special resolution authorizes the Company to adopt the amended Articles, as set out in Schedule "1" of the August 12, 2026 management proxy circular, concurrently with or shortly before completion of a listing on the Main Board of the Hong Kong Stock Exchange, should the Company proceed with that listing. The Board has recommended shareholders vote in favor of the Amended Articles Resolution.

Previously submitted proxies remain valid under extended deadline

Shareholders who already voted do not need to resubmit unless they wish to change their instructions; a later-dated proxy or voting instruction received before the new deadline will supersede an earlier one. Silvercorp has retained Laurel Hill Advisory Group as proxy solicitation agent and shareholder engagement manager for the meeting, paying the firm a $30,000 fee plus expense reimbursement, with the Company covering all solicitation costs.
