Gothenburg, Sweden – September 10, 2026 -- AB SKF's Board of Directors has proposed the distribution and listing of its Automotive business, SKF Vertevo, and convened an Extraordinary General Meeting (EGM) for October 1, 2026, to seek shareholder approval for the split.
Listing targeted for December 1, 2026 on Nasdaq Stockholm
Subject to shareholder approval at the EGM and customary regulatory clearances, SKF Vertevo shares are expected to begin trading on Nasdaq Stockholm on December 1, 2026. The move follows the completed operational separation of the Automotive business, which has functioned as a standalone unit within the SKF Group.
Board cites divergent business models as separation rationale
SKF Chair Hans Stråberg said the split into two independent, focused companies would "unlock the full potential of both SKF and SKF Vertevo, supporting accelerated profitable growth and long-term value creation benefitting customers, employees and shareholders." The Board attributes the separation to differing business models, end markets and success drivers between the industrial bearings group and the automotive supply unit.
SKF Vertevo board finalized under Chair Håkan Buskhe
Håkan Buskhe has been confirmed as Chair of SKF Vertevo's Board of Directors, joined by shareholder-elected members Therese Friberg, Hock Goh, Philip Ahlgren, Jumana Al-Sibai, Ebba Bonde, Maria Hemberg and Kerstin Enochsson. Friberg and Goh have resigned from AB SKF's own Board of Directors as part of the transition.
Lex Asea rules shield Swedish shareholders from immediate taxation
The share distribution is structured to meet Sweden's "Lex Asea" requirements, meaning it will not be immediately taxable for individuals and limited liability companies that are Swedish tax residents.
The proposal marks the latest step in a separation process SKF initiated on September 17, 2024, with the Automotive business renamed SKF Vertevo on February 26, 2026.
