Stockholm – October 01, 2026 -- SciBase Holding AB has closed its rights issue fully subscribed, raising approximately SEK 57.5 million before issue costs to fund continued commercialisation of its Nevisense melanoma-diagnostics platform in the United States.
Shareholders cover nearly three-quarters of the offering
The subscription period, which ran through 29 September 2026, saw 2,681,085 shares subscribed with the support of subscription rights, equal to roughly SEK 40.2 million, or 69.9 percent of the issue. An additional 133,116 shares were subscribed without subscription rights, adding SEK 2.0 million, or 3.5 percent. In total, 2,814,201 shares were subscribed with and without rights, covering approximately SEK 42.2 million, or 73.4 percent of the SEK 57.5 million target.
Guarantor Bergs Securities absorbs the remaining balance
The remaining 1,020,286 shares, worth approximately SEK 15.3 million or 26.6 percent of the issue, were allotted to Bergs Securities AB under its guarantee commitment of approximately SEK 24.2 million, ensuring the offering reached full subscription. Bergs Securities will receive guarantee compensation equal to 10 percent of the guaranteed amount in cash, or 12 percent in newly issued shares priced at SEK 15 each -- matching the rights issue subscription price. The company will notify the extent of cash versus share compensation within five banking days of the subscription period's close.
Share count rises 27 percent, funding points toward US reimbursement
The issue increases SciBase's share count from 10,225,300 to 14,059,787 shares, and share capital from SEK 51,126,500 to SEK 70,298,935 -- a dilution of approximately 27 percent. If guarantee compensation is paid entirely in shares, up to 193,669 additional shares could be issued, adding a further 1.4 percent dilution. Net proceeds, after estimated issue costs of approximately SEK 4.8 million, will support SciBase's push toward reimbursement for Nevisense in the US market and advance its collaboration with Castle Biosciences.
