Houston – – October 12, 2026 -- MSC Income Fund (NYSE: MSIF) has closed the first $75.0 million tranche of a $150.0 million private notes offering carrying a fixed 6.83% annual interest rate, the Fund said on September 1, 2026.
Second $75.0 million tranche is due in October 2026
The unsecured Notes mature on September 30, 2029, with interest payable semiannually. The remaining $75.0 million will be issued in October 2026, subject to customary closing conditions.
MSC Income may redeem the Notes in whole or in part at any time at par plus accrued interest to the prepayment date. A make-whole premium applies if applicable.
Proceeds will refinance 4.04% Series A Senior Notes maturing October 30, 2026
The Fund plans to use the net proceeds to repay its $150.0 million of outstanding 4.04% Series A Senior Notes on or before their October 30, 2026 maturity. The new Notes carry a coupon 2.79 percentage points above the maturing debt.
Until the proceeds are applied to that repayment, MSC Income intends to pay down part of the debt outstanding under two floating-rate facilities: its multi-year revolving Corporate Facility and its special purpose vehicle revolving SPV Facility. It then plans to re-borrow under those facilities to fund investments, pay operating expenses and other cash obligations, and cover general corporate purposes.
Notes are exempt from Securities Act registration
The Notes have not been and will not be registered under the Securities Act of 1933 or any state securities laws. They cannot be offered or sold in the United States without registration or an applicable exemption.
