New York – September 19, 2026 -- Haymaker Acquisition Corp V priced an initial public offering of 25,000,000 units at $10.00 per unit, raising $250 million for its blank-check vehicle ahead of NYSE trading under ticker "HYACU" starting September 17, 2026.

Units begin trading on NYSE as offering nears close

Each unit comprises one Class A ordinary share and one-third of one redeemable warrant, with each whole warrant exercisable at $11.50 per share. The offering is expected to close on September 18, 2026, subject to customary conditions. An amount equal to $10.00 per unit will be deposited into a trust account upon closing.

Underwriters hold option for additional 3,750,000 units

The company granted underwriters a 45-day option to purchase up to 3,750,000 additional units at the IPO price to cover over-allotments, potentially raising total proceeds beyond $250 million. Once separate trading begins, Class A shares and warrants will list under "HYAC" and "HYACW," respectively.

SPAC targets industrial and consumer sectors for merger

Haymaker Acquisition Corp V is structured to pursue a merger, share exchange, asset acquisition or similar business combination, with a stated focus on companies in industrial, consumer and consumer-related products and services industries. The management team is led by Christopher Bradley, serving as both Chief Executive Officer and Chief Financial Officer. The board includes Brian Shimko, Harris Heyer, Walter McLallen, William Heyer and James Heyer.

Cantor Fitzgerald and William Blair lead bookrunning syndicate

Cantor Fitzgerald & Co. and William Blair are acting as joint book-running managers for the offering, with Roth Capital Partners serving as co-manager. The registration statement relating to the securities was filed with the U.S. Securities and Exchange Commission and became effective on September 16, 2026.
