Formation Bio Launches $600M Fund to Acquire 10-15 Drug Programs

New York – October 29, 2026 -- Formation Bio, an AI-native pharmaceutical company, has launched the Formation Bio Drug Development Accelerator Fund with $600 million in capital commitments to expand its portfolio of clinical-stage medicines. The company aims to acquire 10-15 drug programs over the next 3-5 years and advance them through key clinical milestones.

Fund draws research foundations, endowments and hospitals as limited partners

The Fund's limited partners include research foundations, institutional endowments, hospitals and philanthropic organizations. Formation Bio acts as general partner through a wholly owned subsidiary and has committed its own capital alongside them. The amount of that commitment was not disclosed.

The Fund exclusively finances the acquisition and development of programs within Formation Bio's portfolio, scaling the company's hub-and-spoke model.

Standalone entities keep asset economics separate while sharing one development organization

Each funded program sits in its own corporate entity, supported by Formation Bio's existing development organization. This keeps the economics of each asset financially distinct. It also directs more capital to clinical development instead of duplicate operating infrastructure across multiple companies.

CEO and Co-Founder Benjamine Liu described the structure as "capital-efficient" for investors seeking exposure to individual drug assets. He said the Fund also gives Formation Bio financing flexibility, creates paths to liquidity without selling the parent company, and should lower its cost of capital over time.

Formation Bio targets Phase 1 and Phase 2 assets with clinical milestones within 2-4 years

Formation Bio acquires or in-licenses Phase 1 and Phase 2 programs from pharmaceutical companies and biotechs. It prioritizes assets with a clear path to clinical proof of concept. The company focuses on diseases with substantial unmet need but limited active development, and targets major clinical milestones within 2-4 years of acquisition, depending on the program.

Capital will be deployed according to each program's development needs. Following meaningful clinical progress, Formation Bio expects to partner programs with pharmaceutical companies for commercialization or co-commercialization.

Chief Business Officer David Steinberg said the Fund offers a way to unlock medicines stranded in company pipelines. Chief Scientific Officer Michael Ehlers called it a next step in applying AI to drug development.
