FFAI reschedules CEO YT Jia's weekly investor report to October 14

FFAI said this week's Investor Weekly Report from Founder and Global CEO YT Jia has been moved to October 14, the same day as the launch event.

FFAI will also co-host an AIAA LA Seminar with AIAA at its headquarters on frontier technology in engineering and academia. More than 50 scholars and professors from leading universities and the AI field have been invited.

Proposed acquisition remains non-binding amid going-concern doubt

FFR has proposed to acquire FFAI's EAI Robotics business. The term sheet is non-binding and may not result in definitive agreements. The deal still needs approval from FFR's special committee of independent directors, its stockholders and applicable regulators.

The counterparty is FFR's controlling stockholder, which creates conflicts of interest. FFR says it would depend on that party for transition, supply and support after any closing. The consideration would involve issuing a substantial number of shares, which would dilute existing holders.

FFR also cites limited cash, a history of operating losses and negative operating cash flow, and substantial doubt about its ability to continue as a going concern. It must also meet Nasdaq continued listing requirements, including stockholders' equity and minimum bid price. A change of control or change in the nature of its business could force it to satisfy initial listing requirements.

The business projections referenced in the materials were prepared by FFAI management on a standalone basis. FFR has not independently verified or adopted them as guidance.
