Los Angeles – – September 30, 2026 -- Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) has signed a non-binding term sheet to move its entire EAI robotics business into Nasdaq-listed AIxCrypto Holdings, Inc. (NASDAQ: AIXC), at a proposed valuation of approximately $200 million in an all-stock deal.
AIxC will rename itself FF EAI Robotics Ecosystem Inc. and swap its ticker to FFR effective September 30, 2026.
Both companies' special committees have approved the term sheet, though the transaction remains subject to due diligence, definitive documentation and regulatory approvals. Under the proposed structure, AIxC will discontinue its crypto strategy and become a pure-play robotics company built around FF's "Four-Core Full-Stack AI" model, while FFAI retains its position as the single largest and controlling stockholder of FFR.The proposed per-share price is set at the lower of $2.246 or the five-day average closing price before signing.
At $2.246, FFR's pre-closing equity value would be roughly $55 million on a fully diluted basis, shown for illustrative purposes only. If the actual price falls below that threshold, FFR would issue a one-time special stock dividend to holders of record before closing, payable only upon completion and subject to tax review.FF's robotics unit has shipped 552 units cumulatively as of end-August across 24 products spanning three robot forms and 11 models.
All products have received FCC certification. In the unaudited second quarter of 2026, the business posted an average gross margin of approximately 30.9% and cumulative revenue of $1.52 million.FF projects five-year cumulative revenue of $1.98 billion from its full-stack robotics ecosystem.
Total revenue is forecast at $7.1 million in 2026, rising to $45.17 million in 2027, with cumulative EAI device sales targeted to exceed 130,000 units over five years. The business is targeting positive quarterly operating cash flow in the third quarter of 2028 and aims for a Top 3 global ranking among EAI robotics ecosystem companies within five years.FF is targeting Q1 2027 for the first EAI robot to roll off a U.S. production line, with the factory slated to begin operations by year-end.
The move is part of Phase Two of FF's "Built in USA" Acceleration Program, which advances the Next Futurist and Next Aegis product series alongside supply-chain, compliance and manufacturing-capacity development. FF is evaluating U.S. localization of key components including batteries, motion-control boards, computing boards and robot structures, while expanding domestic assembly and sourcing.FF has engaged AIBOT for advisory services on FCC, ICTS and NDAA compliance requirements tied to U.S. localization.
The Company has also joined the FCC's public-comment process as it pursues conditional approval applications for its robotics products.FF's EAI Robotics "Made in USA" Industry Alliance has officially opened for membership.
The alliance, first introduced August 26 alongside a three-phase acceleration roadmap, brings together partners across robotics, AI, semiconductors, manufacturing, supply chains, research and capital. The announcements were made during Part Two of FF's "Built in USA" Business Partner Conference, held in Pittsburgh, Pennsylvania in conjunction with IROS 2026, where FF gathered insights from ten global partners including MetaSense Technology USA, ENCOS and NexCOBOT.Published by
