Mexico City – September 21, 2026 -- ESENTIA Energy Development, S.A.B. de C.V. (BMV: ESENTIA) has agreed to acquire 100% of Energía Occidente de México, S. de R.L. de C.V. (EOM) for a gross purchase price of US$400 million, the company announced.
The deal, signed today, gives ESENTIA the approximately 313-kilometer Guadalajara-Manzanillo natural gas pipeline system, which runs from Jalisco to the Pacific port of Manzanillo, Colima.
Acquisition links Permian Basin gas supply to the Pacific coast
The Guadalajara-Manzanillo System interconnects directly with ESENTIA's existing Villa de Reyes-Aguascalientes-Guadalajara (VAG) pipeline, operated by its subsidiary Esentia Pipeline de Occidente. Upon closing, ESENTIA says it would become the only private company operating an integrated natural gas pipeline network connecting the Permian Basin in Texas to Mexico's Pacific coast.
System comprises two segments feeding LNG and power demand
Segment 1 spans roughly 5.5 kilometers with a 24-inch diameter and 500 MMcf/d capacity, linking the LNG Manzanillo regasification terminal to Comisión Federal de Electricidad's CT Manzanillo power plant. Segment 2 extends approximately 307.3 kilometers via a 30-inch pipeline with 360 MMcf/d capacity, connecting the Manzanillo area to Guadalajara while interconnecting with SISTRANGAS and ESENTIA's VAG system.
CEO cites disciplined M&A strategy behind the deal
"The Acquisition is consistent with ESENTIA's strategy to build a cohesive cross-border transportation system through disciplined M&A and low-risk opportunities that capitalize on our existing infrastructure," said Daniel Bustos, Chief Executive Officer. He added that the deal would expand ESENTIA's ability to serve power generation, industrial customers and potential LNG-related projects.
TC Energy units sell EOM; deal funded without added debt
The sellers are TC Energía Mexicana, S. de R.L. de C.V. and TCPL CentrOriente Ltd. ESENTIA expects to fund the purchase using available liquidity and/or existing credit facilities, and says the transaction is not expected to increase its gross indebtedness. Citigroup is acting as financial advisor to ESENTIA.
Board approved deal September 4; regulatory filing pending
ESENTIA's Board of Directors approved the transaction on September 4, 2026, with the negotiation process kept confidential until today's announcement. The company classifies the acquisition as a corporate restructuring under Mexico's Issuers' Circular and says it lacks the accounting information needed for the required information memorandum, which it expects to publish within 80 calendar days. Closing remains subject to customary conditions and regulatory approvals.
