Casper, Wyoming – September 18, 2026 -- DISA Uranium Corporation has agreed to acquire a portfolio of uranium and vanadium projects in Colorado's Uravan Mineral Belt from Premier American Uranium Inc. (TSXV: PUR) (OTCQB: PAUIF) and will simultaneously invest US$5 million in the company, marking its second major U.S. uranium consolidation move this year.
Colorado deal adds 20,000 acres and 2 million tons of legacy mine waste
The Colorado Portfolio comprises the Outlaw Mesa, Atkinson Mesa, Monogram Mesa and Slick Rock projects, spanning roughly 20,000 acres, eight U.S. Department of Energy uranium and vanadium leases, and 545 patented and unpatented lode mining claims. The DOE leases carry approximately 2.7 million pounds of historically reported uranium resources, while the broader properties hold an estimated 2 million tons of abandoned uranium mine waste. The Uravan district has produced nearly 80 million pounds of U3O8 and more than 400 million pounds of V2O5 since 1945.
DISA Uranium pays $2 million in stock plus warrants for the assets
Under the agreement, DISA Uranium will issue PUR US$2,000,000 in equity, consisting of 25,413 common shares, plus warrants for an additional 25,413 shares exercisable at US$118.05 each, subject to vesting conditions. Closing requires regulatory approvals, including sign-off from the Department of Energy, alongside completion of the separate equity investment.
$5 million equity stake gives DISA Uranium 8.7% of PUR and a board seat
DISA Uranium will purchase subscription receipts in PUR at C$0.75 per receipt for aggregate proceeds of US$5,000,000, resulting in an approximately 8.7% ownership stake once the transaction closes. Proceeds will sit in escrow until closing conditions are satisfied, with a June 13, 2027 deadline after which unreleased funds would be returned and the receipts cancelled. DISA Uranium CEO Greyson Buckingham will join PUR's board upon completion, and the company will hold customary participation rights tied to maintaining its ownership threshold.
Transaction builds on August's IsoEnergy acquisition in Utah
The Colorado assets complement DISA Uranium's Utah portfolio acquired from IsoEnergy Ltd. in August 2026, which includes the Tony M, Daneros and Rim mines along with the Sage Plain and Flatiron projects. Combined, the Utah and Colorado holdings expand the feedstock base for DISA Uranium's proprietary High-Pressure Slurry Ablation technology, which processes abandoned uranium mine waste. The company holds the only NRC license authorizing remediation and recovery of such waste across multiple sites.
