Denarius Holding Commits $400M to Venezuela's CEMA Oil Field

Miami – – September 19, 2026 -- Denarius Holding Group Inc., a Florida-headquartered, U.S.-incorporated energy holding company, disclosed on September 16 a long-term investment to develop the CEMA Oil Field in Anzoátegui State, Venezuela, formerly known as the Petrokariña Oil Field.

Denarius structures the deal through a Venezuelan production-sharing contract

The investment flows through Denarius's principal partnership in Minerosol Group C.A., which has executed a Hydrocarbons Production Participation Contract (CPPH) with state oil company Petróleos de Venezuela, S.A. (PDVSA). The company clarified that this agreement covers the CEMA field in eastern Venezuela and is separate from an existing Petrokariña Joint Venture operating in the west of the country.

Field holds 100 million barrels of recoverable reserves under a 40-year contract horizon

The CPPH grants a 20-year term with an option to extend for another 20 years, covering approximately 100 million barrels of recoverable reserves. Denarius plans to deploy roughly $400 million in phased capital over the initial 20-year period to fund rehabilitation of mature infrastructure, well interventions and production optimization.

Production target of 9,870 barrels per day marks a 24-fold increase

Current output at CEMA stands at approximately 400 barrels of oil per day. The development program targets production of roughly 9,870 barrels per day through field rehabilitation, operational upgrades and enhanced production techniques.

Company frames deal as compliant with current U.S. regulatory framework

Denarius said the project was developed following an extensive legal, commercial and compliance review conducted with U.S. sanctions counsel and regulatory advisors. "This investment reflects our confidence that responsible private-sector participation — structured through a U.S. corporate vehicle and executed to American operational and compliance standards — can contribute to the sustainable development of Venezuela's energy sector," said Zehra Zeynep Dereli, Vice President of Denarius Holding Group Inc.

Denarius's principal shareholder is Çan2 Termik A.Ş. (BIST: CANTE), a Turkish company listed on Borsa Istanbul and subject to Turkish Capital Markets Board disclosure requirements. The Group's U.S. affiliate, Denarius Pumping Services LLC, provides cementing, well services and field engineering support to the project. Additional scope-of-work details are expected to be disclosed as commercial and regulatory obligations permit.
