Oaktree Vehicle Sells 9 Million TORM Shares in Secondary Offering

Hellerup – September 17, 2026 -- TORM plc has launched a secondary public offering of 9,000,000 Class A common shares on behalf of OCM Njord Holdings S.à r.l., a vehicle indirectly owned by funds managed by Oaktree Capital Management, L.P.

Oaktree-linked seller holds roughly 20% of TORM's Class A shares before the sale

OCM Njord Holdings currently owns approximately 20% of TORM's Class A common shares. The selling shareholder is expected to grant the underwriter a 30-day option to purchase up to an additional 1,350,000 shares, which could lift the total offering size to 10,350,000 shares.

TORM will not receive proceeds as the sale is entirely secondary

The Nasdaq-listed product tanker operator (TRMD, TRMD A) is not selling any shares itself and will not collect proceeds from the transaction. J.P. Morgan Securities LLC is acting as sole underwriter, offering the shares to the public at a fixed price that may be adjusted without notice.

TORM Boosts Share Capital by 31,483 Shares via RSU Exercise

Hellerup, Denmark – September 16, 2026 -- TORM plc has increased its share capital by 31,483 Class A shares following the exercise of a matching number of Restricted Share Units under its incentive program, lifting total share capital to USD 1,024,212.67.

New shares priced at DKK 179.80 each, subscribed entirely in cash

The nominal capital increase totals USD 314.83, with no pre-emption rights granted to existing shareholders or third parties. Transfer restrictions apply in certain jurisdictions outside Denmark, including under applicable US securities laws.

Share count now stands at 102,421,267 A-shares carrying equal voting rights

Each share has a nominal value of USD 0.01 and carries one vote. The newly issued shares rank pari passu with existing stock, granting immediate dividend rights and other shareholder entitlements from the date of issuance.
