Calgary – October 12, 2026 -- XORTX Therapeutics Inc. has elected to voluntarily delist its common shares from the TSX Venture Exchange (TSXV), ending a dual listing it says no longer justifies its cost. The company will keep its primary listing on Nasdaq (XRTX) and its Frankfurt listing (ANU).
XORTX, a late-stage clinical pharmaceutical company developing therapies for gout and progressive kidney disease, will announce the timing of the delisting in a separate press release.
XORTX cites duplicate fees and regulatory complexity as reasons for leaving the TSXV
The company said a comprehensive evaluation concluded that the TSXV listing does not justify its costs and administrative requirements. It also said the different regulatory environments create challenges.
XORTX expects the delisting to deliver four outcomes:
- Eliminate duplicative exchange fees
- Reduce legal and accounting expenses
- Optimize company financing initiatives
- Minimize regulatory complexity
Management also expects to gain more time to advance XRx-026, its gout program, which the company links to long-term shareholder value creation.
Canadian shareholders retain full Nasdaq trading access with no action required
All shareholders, including those in Canada, will keep full trading access to their common shares on Nasdaq. XORTX said no shareholder action is required. Investors with account-specific questions are directed to their brokers.
Board approval suffices as TSXV rules waive shareholder vote for alternative-market listings
XORTX's Board of Directors approved the delisting. Under TSXV policies, a shareholder vote is not required because the shares trade on an acceptable alternative market.
XORTX will remain a reporting issuer under applicable securities laws in Alberta, British Columbia and Ontario.
