OSC Receipts CADC Stablecoin Prospectus for Nationwide Canadian Sale

Toronto – October 28, 2026 -- The Ontario Securities Commission has issued a receipt for CADC Reserve Trust's final prospectus dated October 22, 2026, qualifying a continuous offering of a Canadian dollar-referenced stablecoin in every Canadian province and territory at a fixed price of C$1.00 per token.

CADC Reserve Trust sells tokens through Authorized Participants

The issuer distributes CADC Tokens, which reference the Canadian dollar on a one-for-one basis, through a network of Authorized Participants. These may include registered crypto trading platforms, Canadian financial institutions and platforms that hold exemptive relief to trade stablecoins on a non-custodial basis. Participation is subject to the eligibility requirements in the prospectus and the applicable exemptive relief. Loon Payments Inc. is the servicer and administrator of the issuer.

Paytrie opens Interac e-Transfer access to CADC

Paytrie, an Authorized Participant, will let eligible Canadian customers buy CADC and sell it back for Canadian dollars via Interac e-Transfer, subject to its terms of service. Tokens can be held in self-hosted wallets and used to send and receive payments.

Paytrie CEO Jason Tong said Interac support gives eligible customers a familiar route to the token. Loon Payments CEO Kevin Zhang said "a Canadian dollar stablecoin is only useful if Canadians can get access to it," adding that the company's work since 2021 has focused on that goal.

ATB Financial holds C$1.00 in reserve for every token issued

For each CADC Token purchased from the issuer, C$1.00 is deposited into a segregated Reserve Trust Account held with ATB Financial, the custodian of the issuer's assets. The prospectus sets out the reserve arrangements and redemption terms. It also covers the issuer's financial reporting, monthly attestation arrangements, purchaser rights and their limitations, and risk factors.

The offering is made only by prospectus, which is accessible through SEDAR+ under the issuer's profile. Copies are available free of charge from Loon Payments Inc. at its Calgary office.
