Insmed grants 115,320 restricted stock units to new hires as employment inducement

The awards, approved by Insmed's Compensation Committee, were granted on August 31, 2026, under the company's 2025 Inducement Plan. The plan is structured to comply with Nasdaq Listing Rule 5635(c)(4), which permits equity grants as a material inducement for new employees without requiring shareholder approval.

Stock options carry a $121.82 exercise price matching Nasdaq closing trade

Alongside the restricted stock units, the new employees received options to purchase an aggregate 5,560 shares of Insmed common stock. The exercise price was set at $121.82 per share, matching the stock's closing price on the Nasdaq Global Select Market on the grant date.

Four-year vesting schedule ties retention to service milestones

The restricted stock units vest over four years, with 25% vesting on each anniversary of the first day of the month following the grant date, contingent on continued employment. The stock options carry a 10-year term, vesting 25% on the first anniversary and 12.5% every six months thereafter through year four, also contingent on continued service.
