Hyperscale Data Plans askROI Public Listing by Q2-Q3 2027

Las Vegas – October 16, 2026 -- Hyperscale Data, Inc. (NYSE American: GPUS) is targeting a separate public listing of its AI subsidiary askROI, Inc. by the second or third quarter of 2027, via a reverse takeover (RTO), an initial public offering (IPO) or a special purpose acquisition company (SPAC) merger.

The timing depends on which route the company ultimately selects. In an RTO, askROI would be sold to a public company that has not yet been identified, in the first half of 2027. Hyperscale Data would receive shares of that company as consideration and would then need to file a resale registration statement for them. The plan is subject to financial and regulatory requirements and to prevailing market conditions.

Spaziano to take over as askROI CEO as Ault steps down

Milton "Todd" Ault III, Founder and Executive Chairman of Hyperscale Data, will step down as CEO of askROI. The company expects to appoint Joseph Spaziano as CEO and Ryan Doucette as President.

Spaziano is currently Chief Technology Officer of Hyperscale Data and President and COO of askROI. He would leave his Hyperscale Data role to focus solely on askROI. Doucette is currently Head of Product at askROI. Hyperscale Data said it anticipates, but cannot guarantee, that both executives would remain in their roles after any transaction.

askROI bundles more than 240 productivity tools in one AI platform

askROI offers an AI productivity, research, automation and content creation platform through web and mobile applications. It provides access to leading AI models, more than 240 productivity tools, custom AI applications, enterprise knowledge management and generative AI technologies. The target users are individuals, entrepreneurs, professionals and businesses.

Ault argues public markets undervalue the subsidiary

Ault said askROI's value is not recognized by public markets while it remains a Hyperscale Data subsidiary. He said comparable AI technology companies often trade at substantially higher valuations, and that a separation could raise Hyperscale Data's market capitalization through its ownership of the post-transaction public entity.

The company said a listing would give Hyperscale Data stockholders and future askROI shareholders greater transparency into the business, access to capital and a platform for growth. The move is part of a wider strategy of establishing independent market valuations for portfolio businesses, and the company said it will keep evaluating strategic alternatives for its subsidiaries and investments.

Structure and timetable remain open

Hyperscale Data will disclose the transaction structure, corporate organization and listing timetable at a later date. It cautioned that there is no assurance the listing will occur within the anticipated timeframe or at all.

Separately, the company expects to divest Ault Capital Group (ACG) in 2027 through a voluntary exchange of Series F Exchangeable Preferred Stock for ACG Class A and Class B common shares. Once that divestiture is complete, Hyperscale Data would own and operate data centers for high-performance computing, hold digital assets and own Omnipresent Robotics, LLC.
