FFR Launches $2,490 Nova Humanoid, Buys FFAI Robotics for $200M

Los Angeles – October 15, 2026 -- FF EAI Robotics Ecosystem Inc. (NASDAQ: FFR) launched the FF Nova humanoid robot at $2,490 and agreed to acquire the robotics business of Faraday Future Intelligent Electric Inc. (NASDAQ: FFAI) in an all-stock transaction that values that unit at about $200 million.

FFR issues shares at $2.246, a 50% premium to its $1.50 close

The definitive agreements were signed on October 12, 2026. The parties valued FFR at about $60 million on a fully diluted basis. FFR will issue shares to FFAI at $2.246 each, about 50% above its $1.50 closing price on the signing date.

FFR has also secured up to $10 million in a first PIPE round, priced at market with no discount and no warrants. The company said it capped the raise at about $10 million to limit dilution.

FFAI will hold 65.7% of FFR after closing, with an 18-month lockup

On an as-converted, fully diluted basis, FFAI will own about 65.7% of FFR. Management and employees will hold about 18.2%, PIPE investors about 5.5% and other stockholders about 10.7%. All newly issued shares in the deal carry an 18-month lockup. PIPE investors cannot sell for six months or before the resale registration statement becomes effective.

Together, FFAI, management and employees, and PIPE investors will control about 89.3%. That leaves a freely tradable float of about 13 million shares, or 10.7% of the total. FFR expects almost no debt after closing and says the structure will give cleaner financial statements.

FFR is targeting a top-three ranking in the embodied AI (EAI) robotics industry over the next five years. It also plans to pursue synergies between its RoboShare business and the acquired robotics unit across sales, leasing, deployment and recurring services.

FF Nova ships with 20 degrees of freedom and a $390 developer package

The companies describe Nova as America's first humanoid robot priced below $2,500. The device costs $2,490, and the Developer Skills Package costs $390. Nova is a bipedal humanoid with 20 degrees of freedom. It carries LiDAR, wide-angle vision, depth sensing and a circular microphone array. It can walk, turn, wave and stand up after being knocked over. It can also ride a detachable base for autonomous navigation.

On the software side, Nova offers a fully open SDK, a ROS 2 workflow and over-the-air updates. It connects to a large voice AI model and supports AI Agent integration. A Skills Store is planned so developers can share, reuse and potentially monetize their capabilities.

Phase One limits Nova to 100 invited buyers, with 20 units ready now

Nova will launch in three phases. Phase One is invitation-only and limited to 100 units for developers and educational institutions, and the first 20 are ready for immediate delivery. Phase Two opens to all developers and educational institutions. Phase Three is the full consumer launch. Applications run through the FF Developer Platform within a seven-day window, after which the company will announce invitation results.

FFR and FFAI also launched a Physical AI Reinforcement Learning Developer Program for Nova, supported through the NVIDIA Isaac platform. Recruitment for the Nova developer community is invitation-only, and outstanding projects may qualify for the Developer Support Program.

Nova Mini costs $299 and targets children and teenagers

FF Nova Mini is a bipedal humanoid for Physical AI education, priced at $299 with a $499 curriculum. The companies also introduced the Physical AI Spark Program Curriculum for schools and families.

The robots will be sold through FF.com, FF Mall and the official Amazon store, as well as offline channels. FF's direct sales team and partners will handle demos, pilot programs and institutional purchasing.

FFAI and the American Institute of Aeronautics and Astronautics hosted a symposium at FFAI headquarters with more than 50 scholars and professors. Attendees discussed joining the FFR Developer Platform.
