EQT Buys Stockbridge for $375M to Widen Real Estate Platform

Stockholm – October 15, 2026 -- EQT AB has signed an agreement to acquire U.S. real estate manager Stockbridge for a base consideration of USD 375 million in cash, adding about USD 16.5 billion in fee-generating assets under management and USD 27 billion in gross asset value to EQT Real Estate.

Earnouts may become payable across 2027 to 2030, subject to performance targets. The base price is on a cash- and debt-free basis and will be funded from EQT's balance sheet.

EQT acquires 100% of the management company and fund general partners

EQT will take 100% of the Stockbridge management company and the general partner entities that control interests in the Stockbridge funds. It will also be entitled to invest in 35% of the carried interest in all future Stockbridge funds, in line with existing EQT policies.

Stockbridge's senior management shareholders have committed to reinvest half of their proceeds in EQT AB ordinary shares. The shares will be bought in the market after closing and will be subject to customary lock-up arrangements.

Stockbridge adds industrial outdoor storage, manufactured housing and a core fund

Founded in 2003 and based in San Francisco, Stockbridge employs about 185 professionals across six U.S. offices and serves about 180 institutional clients. Its specialties include Industrial Outdoor Storage, alternative living including Manufactured Housing, and open-ended core products.

Its open-ended core fund ranks in the top 5% of its peer group over 1-, 3- and 5-year periods. It will become a flagship diversified core strategy within EQT Real Estate. EQT plans to scale the fund with existing and new clients through its global distribution, especially in Europe and Asia.

Stockbridge's industrial capabilities will be combined with EQT Real Estate's existing industrial platform, adding sub-sectors such as Industrial Outdoor Storage. EQT also sees a base for a broader Alternative Living franchise, with senior and student housing named as possible future subsectors.

EQT Real Estate, which has more than doubled since 2021, folds Stockbridge into a dedicated business line

EQT says EQT Real Estate has more than doubled in size since 2021 and has delivered consistent top-quartile performance. Stockbridge's diversified and alternative strategies will run as a dedicated business unit within EQT Real Estate. Existing leadership, investment teams and decision-making processes will largely remain in place.

Stockbridge CEO Terry Fancher becomes Vice Chair of EQT Real Estate, reporting to Global Head Henry Steinberg. CFO Kristin Renaudin becomes Global CFO of EQT Real Estate. Tuba Malinowski, currently Executive Managing Director, becomes Head of U.S. Diversified Real Estate.

Stockbridge will move to the EQT Real Estate brand at closing, while existing funds keep their current names. Integration will be led by operational and business development teams so investment teams can stay focused on performance.

Steinberg said the deal will let EQT Real Estate deliver its expected risk-adjusted returns across a broader range of sectors, while EQT contributes its proprietary data and AI tools to Stockbridge's sourcing, underwriting and asset management.
