Indianapolis – September 17, 2026 -- Corteva's Board of Directors has approved the separation of the company's seed operating segment into a new independent, publicly traded entity, Vylor Inc., with the stock distribution scheduled for October 1, 2026.
Board declares pro rata stock dividend of Vylor shares
Corteva stockholders of record as of the close of business on September 24, 2026, will receive one share of Vylor common stock for every Corteva share held. Any fractional shares will be settled in cash, and the distribution is intended to be tax-free to Corteva stockholders for U.S. federal income tax purposes, excluding cash received for fractional shares.
Vylor shares to begin when-issued trading on NYSE under 'VYLR WI'
When-issued trading in Vylor common stock is expected to start on the New York Stock Exchange on September 25, 2026, and continue through the close of business on September 30, 2026. Regular-way trading under the ticker 'VYLR' is set to begin at the market open on October 1, 2026.
Corteva stock to trade in two parallel markets ahead of the split
From September 25 through September 30, 2026, Corteva shares will trade in two separate markets on the NYSE: a regular-way market under 'CTVA' carrying entitlement to Vylor shares, and an ex-distribution market under 'CTVA WI' without that entitlement. Stockholders do not need to take any action to receive their Vylor shares.
Corteva to detail post-separation strategy at investor day
On September 15, 2026, Corteva will host a two-part investor webcast: a 9:00 a.m. EDT session introducing Vylor as a standalone seed and genetics company, followed by a 1:00 p.m. EDT session outlining Corteva's strategy after the separation. The distribution remains subject to the satisfaction or waiver of customary closing conditions, which Corteva expects to meet ahead of the October 1 completion date.
