REHOVOT, Israel -- September 01, 2026 -- CollPlant Biotechnologies Ltd. (Nasdaq: CLGN) has signed a definitive agreement to acquire LightSolver Ltd., an Israeli developer of laser-based computing hardware, in a deal expected to close this week. The transaction moves CollPlant, a regenerative-medicine company known for recombinant collagen products, into supercomputing and photonic computing. LightSolver's technology has already been tested by Boeing, a top-tier global financial institution and unnamed defense, energy and engineering-software companies.

CollPlant pays with equity tied to LightSolver's future milestones

CollPlant will issue 3,734,476 newly issued ordinary shares at closing, equal to 19.7% of its issued and outstanding share capital prior to signing. The company will also hand over pre-funded warrants for 6,134,363 shares and three tranches of milestone-based warrants covering 224,078,345 shares, exercisable at $0.00001 per share once LightSolver hits specified technological and commercial targets. Certain LightSolver option holders will receive rollover options for 2,261,966 CollPlant shares. Issuances beyond an equity blocker built to satisfy Nasdaq Listing Rule 5635 require shareholder approval.

LightSolver's laser chip skips the transistor entirely

Founded in 2020 by Weizmann Institute physicists Dr. Ruti Ben Shlomi and Dr. Chene Tradonsky, LightSolver built what it calls the Laser Processing Unit, or LPU, an all-optical platform that uses interacting lasers rather than electronic transistors to run calculations. The system runs at room temperature, avoiding the cryogenic cooling that quantum computers require. LightSolver aims for commercial availability of the LPU in 2028, targeting large-scale linear systems, optimization problems and partial differential equations used in weather modeling, chip design, drug discovery and plasma physics.

Boeing funds engineering work on aircraft lifecycle simulations

Boeing has entered a funded financial and engineering partnership with LightSolver to adapt the LPU for physics-based aerospace simulations, focusing on degradation-driven structural effects that determine aircraft lifespan and maintenance schedules. LightSolver said the collaboration targets simulations run "orders of magnitude faster than traditional GPU clusters" on lifecycle problems it described as a multi-trillion-dollar challenge. Separate design partnerships with aerospace and defense entities and engineering-software firms are testing the LPU on mechanical design, structural analysis and multiphysics simulation workloads.

CollPlant says collagen business stays intact after the pivot

Yehiel Tal, Chairperson and CEO of CollPlant, called the acquisition "a transformational... extraordinary new growth vector" for the company while stating that CollPlant "remains fully committed to regenerative medicine and medical aesthetics" and is pursuing strategic collaborations around its existing technology. Deputy CEO and CFO Eran Rotem described the deal as entry into "a market with massive growth potential" executed through "a highly disciplined approach to capital allocation." Dr. Ben Shlomi, LightSolver's founder and CEO, said her team has turned laser-based physics into "a working machine" aimed at becoming a computing layer alongside CPUs and GPUs.

Two boutique banks advised on the cross-sector transaction

H.C. Wainwright & Co. served as financial advisor to CollPlant, while Rodman & Renshaw, LLC advised LightSolver. CollPlant filed additional transaction details with the U.S. Securities and Exchange Commission on Form 6-K.
