Singapore – October 16, 2026 -- BUUU Group Limited (Nasdaq: BUUU) will begin trading its Class A ordinary shares on a split-adjusted basis at market open on October 26, 2026, after its board approved a 10-for-1 forward share split. The company says the move is meant to broaden its investor base and improve trading liquidity.
Split subdivides Class A and Class B shares into ten each
Each issued and unissued Class A and Class B ordinary share will be subdivided into ten shares of the same class. Shareholders will hold nine additional shares for every share held before the split. The Class A shares stay on the Nasdaq Capital Market under the symbol "BUUU" and will carry a new CUSIP number, G1739L110. The board approved the split on September 28, 2026.
Authorized share capital rises tenfold to 5 billion shares
The maximum number of no-par shares the company may issue increases from 500,000,000 to 5,000,000,000. That ceiling will consist of 2,500,000,000 Class A and 2,500,000,000 Class B ordinary shares, up from 250,000,000 of each class.
Voting rights and ownership percentages stay unchanged
Class A shares keep one vote each and Class B shares keep twenty votes each. All post-split shares of a class rank pari passu. No shareholder's percentage ownership or voting power changes, and no fractional shares will result.
Warrants and convertibles get proportionate adjustments
The company will adjust the number of Class A shares issuable under outstanding warrants and other convertible or exercisable securities, along with their exercise prices or other per-share terms, to the extent their terms provide.
Shareholders holding through a bank, broker or other nominee need take no action, as their positions will adjust automatically, subject to the nominee's processes. Transfer agent VStock Transfer, LLC will update book-entry holdings of registered shareholders. Holders of physical certificates must deliver a letter of transmittal to VStock to exchange them for post-split shares in electronic book-entry form.
Split follows 60% Brightray acquisition completed September 15
The split comes after BUUU completed its acquisition of a 60% equity interest in Brightray Science Inc. on September 15, 2026. Through Brightray, the company has established industrialized AI data center delivery as its core growth business.
Company flags execution and Nasdaq compliance risks
BUUU cautions that the split may not deliver the intended liquidity or investor-base gains. It also warns that the share price may not adjust proportionately and that volatility could rise. A lower per-share price could affect compliance with Nasdaq's minimum bid price requirement. Implementation depends on registering an amendment to the company's memorandum and articles of association in the British Virgin Islands and on processing by Nasdaq, The Depository Trust Company, the transfer agent and brokers.
The company will furnish the press release to the U.S. Securities and Exchange Commission on Form 6-K.
