Singapore – September 08, 2026 -- BUUU Group Limited (Nasdaq: BUUU) has signed a definitive agreement to acquire a 60% stake in Brightray Science Inc., a modular prefabricated data center provider, while raising more than $60 million through private placements to fund an industrialized AI infrastructure build-out.

BUUU shifts core business to AI data center deployment via Brightray acquisition

Brightray, founded by Bin Wang and previously backed by investors linked to Tencent, will become a consolidated subsidiary of BUUU once the transaction closes. The purchase price consists of newly issued BUUU Class A common shares priced at a fixed $20 per share, plus a convertible promissory note for up to 10 million BUUU shares subject to adjustment based on Brightray's audited annual net income, capped at 19.99% of BUUU's total outstanding shares. Sellers will retain a 40% stake in Brightray, while BUUU holds a call option to acquire the remainder within three years of closing. Bin Wang will join BUUU as Executive Director and co-CEO; the company's current management and board are expected to remain in place. The deal remains subject to customary closing conditions and regulatory approvals.

Brightray cuts data center delivery time to six to nine months from 18 to 36 months

More than 90% of a Brightray facility is built, integrated and tested at the factory, compressing delivery timelines by half or more. According to McKinsey, JLL and SemiAnalysis data cited by the companies, this acceleration generates roughly $200 million in additional revenue over the lifetime of a single dedicated 50MW AI hall. A one-month delay on a 60MW installation costs approximately $14.2 million. Global data center demand is projected to nearly triple by 2030 to around 219GW, with NVIDIA CEO Jensen Huang forecasting $3-4 trillion in AI infrastructure spending this decade.

Sedenak Tech Park in Johor delivers 70MW, with 20MW commissioned in eight months

Brightray's flagship 120MW Sedenak Tech Park campus in Johor, Malaysia is currently supplying 70MW to major internet and cloud clients, with the first 20MW commissioned in eight months and an additional 50MW planned. Johor is the largest data center market in the Asia-Pacific region, according to Cushman & Wakefield. Brightray operates three deployment models on a single prefabricated platform -- full prefabrication (15-50MW blocks in six to nine months), indoor prefabrication (roughly seven to 14 months), and containerized units -- spanning racks from 13.5kW air-cooled to 132-144kW liquid-cooled, supported by a 126,000-square-meter ISO-certified manufacturing site with 300MW annual capacity.

Pipeline could reach 2GW and $9 billion as company relocates headquarters to Singapore

Management is targeting approximately 1GW of deliveries over the next three fiscal years, with a project pipeline expected to reach around 2GW -- a potential contract value of roughly $9 billion -- spanning Malaysia, Indonesia, Saudi Arabia, the UAE and the United States, subject to definitive agreements. No financial forecasts were issued. BUUU intends to relocate its headquarters to Singapore as part of the transaction, positioning it closer to regional customers, talent and capital markets.

Private placements combined with warrant exercises target over $60 million in proceeds

BUUU has separately entered private placement agreements with certain investors that, combined with the potential cash exercise of outstanding warrants at $10 per share, are expected to generate total gross proceeds exceeding $60 million. Proceeds are earmarked for capacity expansion and working capital needs. The financings remain subject to customary closing conditions.

BUUU management said the bottleneck in the AI era lies not in chips but in the buildings, power and cooling systems chips depend on, adding that Brightray has turned that bottleneck into a mass-manufacturable product proven at scale.
