Azenta Recovers Full $63 Million From B Medical Systems Sale

Burlington, Mass. – September 08, 2026 -- Azenta, Inc. (Nasdaq: AZTA) has received full repayment, ahead of maturity, of a $35 million secured vendor loan tied to its divestiture of B Medical Systems S.à r.l., closing out the transaction with the entire $63 million purchase price now collected in cash.

Azenta collects $35 million vendor loan before maturity

Azenta Germany GmbH, a wholly owned subsidiary, had extended the secured term loan to buyer Thelema S.à r.l. as part of the sale that closed July 1, 2026. The loan was secured by a pledge over B Medical Systems' equity interests. Thelema repaid the principal along with all accrued interest, and Azenta released the share pledge that secured the debt.

Total cash proceeds reach $63 million

With the vendor loan settled, Azenta has now received the full $63 million purchase price for B Medical Systems in cash, eliminating the credit exposure the company carried since the deal closed.

CEO ties repayment to capital allocation discipline

Interim President and CEO Dr. Martin D. Madaus said the repayment completes the divestiture and retires the credit exposure associated with the transaction, calling it consistent with the company's disciplined approach to capital allocation.
