New York – October 16, 2026 -- Actinium Pharmaceuticals (NYSE American: ATNM) granted new CFO Matt David, M.D., options on 250,000 shares at $0.97 each, plus 250,000 restricted stock units (RSUs) and up to 75,000 milestone-based RSUs, as inducement for joining the company.
CFO package combines options, time-based RSUs and milestone awards
The October 14, 2026 grant gives Dr. David a non-qualified stock option with a ten-year term. The $0.97 exercise price equals Actinium's closing price on the NYSE American that day.
Twenty-eight percent of the option vests on the first anniversary of the grant. The remainder vests in monthly installments of 2% over the following 36 months.
Of the 250,000 RSUs, 125,000 vest in three equal annual installments on the first, second and third anniversaries. The other 125,000 vest in full on the third anniversary. A further 75,000 RSUs, at most, vest only if specified corporate milestones are met.
Business development SVP receives 40,000 options at $1.06
Sean Maenpaa, the newly appointed Senior Vice President, Business Development, received his grant on October 12, 2026. It is a non-qualified option on 40,000 shares at $1.06, the NYSE American closing price that day. The option has a ten-year term and the same vesting schedule as the CFO's: 28% after one year, then 2% monthly over 36 months.
Mr. Maenpaa also received 20,000 RSUs that vest in three equal annual installments. A further 50,000 RSUs vest on the third anniversary, subject to certain corporate milestones.
Awards sit outside the 2019 stock plan under NYSE American inducement rules
Vesting of every award requires continued service through the applicable vesting date. Actinium granted the awards outside its Amended and Restated 2019 Stock Plan, as an inducement material to each executive's entering into employment, under Section 711(a) of the NYSE American Company Guide. They are governed by the Actinium Pharmaceuticals 2026 Employment Inducement Award Plan and the individual award agreements.
The exercise prices differ by $0.09 per share between the two grants, reflecting the change in Actinium's closing price between October 12 and October 14.
